1. INTRODUCTION

1.1 The Crowdfunding Program

Atomm operates a Crowdfunding Program (the "Program") that allows independent designers (each a "Creator") to launch funding campaigns (each a "Campaign") for digital design files, commercial licenses, and companion Project Kits (curated physical materials), and allows visitors to pledge financial support (each a "Backer" or "you") in exchange for the rewards described on each Campaign page (each a "Reward").

1.2 Relationship to Other Atomm and xTool Documents

This Agreement supplements, and is incorporated into, the Atomm Terms of Use ("ToU") and Atomm Privacy Policy ("Privacy Policy"), which govern your general use of the Atomm platform — including account eligibility, content rules, intellectual property, limitation of liability, indemnification, dispute resolution (including arbitration and class-action waiver), governing law, modifications, notices, and force majeure — and continue to apply to your participation in the Program. In short, the ToU and Privacy Policy set out your general rights and obligations as an Atomm user, and this Agreement adds the matters specific to the Program.

For all matters relating to the sale, shipping, taxation, returns, warranty, recall, and product-safety of Project Kits, the policies published on the xTool online store (including the xTool refund policy, shipping policy, warranty policy, and applicable product-safety disclosures) apply and are incorporated into this Agreement by reference.

This Agreement governs only the Program-specific matters. In the event of a direct conflict on a Program-specific matter, this Agreement controls; on all other matters, the ToU, Privacy Policy, and xTool store policies (as applicable) control.

1.3 Acceptance

By clicking "Back This Project," submitting payment, or otherwise participating in the Program, you accept and agree to be bound by this Agreement.

1.4 Atomm

For the purposes of this Agreement, "Atomm," "we," "us," or "our" means Makeblock Europe B.V. (the entity operating the Atomm platform under the ToU), and any successor or assignee of the Program.

2. DEFINITIONS

Capitalized terms not defined in this Agreement have the meanings given in the ToU. Program-specific terms:

  • Pledge: a Backer's commitment to support a Campaign in exchange for one or more Rewards, made by submitting the full Pledge Amount at the time of submission.
  • Pledge Amount: the full price of the Reward(s) for which the Backer Pledges, charged in full at the time of Pledge submission.
  • Digital Pledge: a Pledge for Digital Files and/or Commercial License, paid through the Atomm platform.
  • Physical Pledge: a separate Pledge for the companion Project Kit, paid through the xTool online store (Shopify).
  • Funding Goal: the minimum amount or pledge count published by the Creator that must be reached for a Campaign to succeed.
  • Funding Period: the time window from Campaign launch to the Campaign End Date.
  • Successful Funding / Unsuccessful Funding: the Funding Goal being met / not met by the Campaign End Date.
  • Late Pledge Period: an optional post-funding period during which Backers may pledge after Successful Funding.
  • Reward Tier: a specific Reward configuration and price published on a Campaign page.
  • Digital Files / Commercial License / Project Kit: the three Reward categories described in Section 5.

3. NATURE OF THE PROGRAM

3.1 Nature of the Pledge; Forward-Looking Statements

When you submit a Pledge, you are committing financial support to a Campaign based on the description, expected delivery date, and any other information disclosed on the Campaign page. Different Campaigns may describe Rewards at different stages of readiness (for example, some Rewards may be ready for fulfillment shortly after Successful Funding, while others may still be in development). The Campaign page is the controlling description of each Reward and its expected timeline.

You acknowledge that:

(i) the Campaign description, expected delivery date, and any feature list are based on information available to the Creator (and, where applicable, to Atomm for Project Kits) at the time of publication;

(ii) the actual delivery of a Reward may take longer than estimated, due to factors such as production, supply chain, customs, or development progress;

(iii) for any feature, component, or detail that the Campaign page identifies as still in development or subject to refinement, the Creator (and, where applicable, Atomm) may make non-material adjustments from the initial description (the right to materially change a Reward is limited by Section 5.5, which provides cancellation and refund options if a material change is necessary);

(iv) where the Campaign page describes a Reward as already produced, finalized, or available, the content, features, and quality of the Reward are fixed as of your Pledge and the forward-looking statements above apply to that Campaign only with respect to fulfillment and shipping timing; and

(v) a failure by the Creator to deliver a Digital Reward under the license between the Creator and you is not a breach by Atomm of its obligations to you under this Agreement (see Section 3.2(a)); however, Atomm's express obligations to you (including the refund obligations in Sections 4.3, 4.6, 5.4, 5.5, and 6) remain in effect.

3.2 Two Separate Pledges — Atomm Platform and xTool Online Store

A Reward Tier on a Campaign page may include digital items, a physical Project Kit, or both. A Backer who wishes to back both makes two separate Pledges, paid through two separate checkouts:

(a) Digital Pledge — paid on the Atomm platform:

  • Reward types: Digital Files and/or Commercial License (collectively, "Digital Rewards").
  • Your contract with Atomm: Makeblock Europe B.V. (the operator of the Atomm platform) is your contractual counterparty for the Digital Pledge payment, for the Atomm services (Campaign hosting, communications, account management), and for Atomm's express obligations under this Agreement (including refunds under Sections 4.3, 4.4, and 6).
  • Your license from the Creator: The Creator is the author of the Digital Files and grants you the license to use them, on the terms shown on the Campaign page. Atomm hosts and delivers the Digital Files but is not a party to that license.
  • Payment: processed by Atomm through Stripe. The full Pledge Amount is charged to your payment method at the time of Pledge submission.
  • Effect of the role distinction: A Creator's failure to deliver the Digital Reward under the license between you and the Creator is not a breach by Atomm of its obligations to you under this Agreement; however, Atomm's express obligations to you (including the refund obligation in Section 5.4 if the Reward is not delivered within 12 months) remain in effect.

(b) Physical Pledge — paid on the xTool online store:

  • Reward type: companion Project Kit.
  • Seller and contractual counterparty: the xTool online store entity for your location, as identified at the xTool online store checkout (for example, the US, EU, UK, or Japan entity, as applicable to your Backer location).
  • Payment: processed through the xTool online store checkout. The full Pledge Amount for the Project Kit is charged to your payment method at the time you place the order on the xTool online store.
  • Terms applicable to the Project Kit sale (shipping, returns, warranty, product-safety, Proposition 65, recall, etc.): governed by the published policies of the xTool online store, except as supplemented by this Agreement for crowdfunding-specific matters (Sections 4.3, 4.4, 4.5 below and Section 9).
  • Conditional shipping: Shipping of the Project Kit will not begin until the corresponding Campaign reaches Successful Funding; see Section 4 below.

One Campaign, two separate checkouts. The Atomm Campaign page links to both checkouts. Your payment for the Digital Pledge and the Physical Pledge are independent transactions with separate sellers, subject to the separate refund and cancellation rules described in Section 4. Atomm clearly identifies on the Campaign page and at each checkout which entity is the seller for each portion of the Reward.

Independence of the two Pledges. You may make:

(i) a Digital Pledge only;

(ii) a Physical Pledge only; or

(iii) both, separately.

Each Pledge is independent of the other for payment, refund, and shipping purposes. If one Pledge fails at checkout (for example, payment declined), the other Pledge is not automatically affected, and you may re-submit the failed Pledge separately. Your Atomm account will show both Pledges. To track the shipping and order status of your Physical Pledge, go to your xTool online store account.

3.3 Creator Curation and Atomm's Economic Interest

Atomm reviews Creators before allowing them to launch Campaigns. Atomm's acceptance of a Campaign does not constitute a verification or guarantee of the Creator's identity, representations, ability to deliver, or IP rights. Atomm receives a service fee on Digital Rewards and a commission on Project Kit sales (as published on the Platform). Atomm's curation and presentation of Campaigns on the Platform reflect editorial judgment, not paid placement; any paid placement will be clearly labeled.

4. PLEDGE, PAYMENT, AND CONDITIONAL FULFILLMENT

4.1 Full Payment at Pledge; Conditional Fulfillment

(a) Full Pledge Amount charged at submission. When you submit a Pledge — whether Digital Pledge on the Atomm platform or Physical Pledge on the xTool online store — the full Pledge Amount is charged to your payment method at the time of submission. This is a one-time charge, not an automatic-renewal or negative-option arrangement.

(b) Conditional fulfillment. Until the corresponding Campaign reaches Successful Funding:

  • (i) Digital Rewards are not released; your Atomm account will show the Pledge as awaiting the Campaign outcome.
  • (ii) Project Kits will not be shipped until the corresponding Campaign reaches Successful Funding; your xTool online store order will reflect a "pending crowdfunding outcome" status until then.

(c) Upon Successful Funding. As soon as practicable after the Campaign reaches Successful Funding by the Campaign End Date:

  • (i) Atomm grants you access to the Digital Rewards (download / use rights become available in your Atomm account).
  • (ii) The xTool online store begins shipping Project Kits in accordance with its standard shipping timelines.

4.2 Notice of Campaign Outcome

Within 24 hours of the Campaign End Date, Atomm will notify you by email and in-platform message whether the Campaign reached Successful Funding or Unsuccessful Funding.

4.3 Unsuccessful Funding — Automatic Full Refund

If the Campaign does not reach Successful Funding by the Campaign End Date, both Pledges (Digital and Physical, if any) will be fully refunded to the original payment method without further action by you:

(a) Digital Pledge refund is initiated by Atomm within seven (7) calendar days of the Campaign End Date.

(b) Physical Pledge refund is initiated by the xTool online store within seven (7) calendar days of the Campaign End Date, in accordance with the xTool online store's refund processing.

The time required for the refund to appear in your account depends on your payment method, bank, and payment processor. If you do not receive your refund within 14 calendar days after the Campaign End Date, contact Atomm support (for Digital Pledge) or the xTool online store customer service (for Physical Pledge).

4.4 Cancellation of an Active Pledge Before Campaign End

You may cancel an active Pledge at any time before the Campaign End Date:

(a) Digital Pledge cancellation — submit a cancellation request through your Atomm account. Atomm will refund the Digital Pledge Amount to your original payment method within seven (7) calendar days of cancellation.

(b) Physical Pledge cancellation — submit a cancellation request through the xTool online store, governed by the xTool online store's cancellation policy for unshipped orders.

Cancellations after Campaign End Date are governed by Section 4.6 (post-funding refunds) and the EU/UK consumer rights in Appendix A.

4.5 Late Pledge

After Successful Funding, Atomm may (but is not obligated to) open a Late Pledge Period during which additional Backers may make a Digital Pledge and/or Physical Pledge. If opened, the full Pledge Amount is charged at submission and the Reward is made available (Digital Rewards) or shipped (Project Kits) promptly upon payment confirmation. Late Pledge is subject to availability and may be kept open for as long as demand and inventory permit, or closed at any time at Atomm's discretion. Atomm will use commercially reasonable efforts to notify Backers in advance of closure. Whether a Late Pledge Period applies to a given Campaign will be indicated on the Campaign page.

4.6 Post-Funding Refunds (After Successful Funding)

Once a Campaign has reached Successful Funding and fulfillment has begun:

(a) Digital Rewards (released and accessed): the Backer's right of withdrawal for Digital Rewards is governed by Appendix A § A.2 for EU/UK consumers (the right of withdrawal ends once delivery has begun, provided express prior consent and acknowledgment were obtained); for U.S. Backers, no general refund right applies once access has been granted, except where required by applicable law.

(b) Project Kit (shipped or to be shipped): refunds and returns are governed by the xTool online store's refund and return policy, plus the EU/UK consumer 14-day right of withdrawal where applicable (see Appendix A § A.1).

4.7 Currency and Payment Methods

Reward prices are quoted in US dollars. Digital Pledge payments are processed by Atomm through Stripe. Physical Pledge payments are processed through the xTool online store's payment channels, which include the payment methods made available on the xTool online store from time to time. Payments in non-US-dollar currencies are converted at the payment processor's then-current rate.

4.8 Funding Goal and Campaign Duration

Each Campaign's Funding Goal must be set at a minimum of US$100, with no upper limit. Each Campaign's Funding Period must be set within a range of 15 to 60 calendar days.

4.9 U.S. Mail Order Rule (Shipping Delay Notification)

For U.S. Backers, where the Reward includes a Project Kit or any other physical good to be shipped, Atomm and the xTool online store will comply with the FTC Mail, Internet, and Telephone Order Merchandise Rule (16 C.F.R. Part 435). If the xTool online store cannot ship the Project Kit within the time stated on the Campaign page (or, if no specific time is stated, within thirty (30) days of Successful Funding), the U.S. Backer will receive:

(a) a written delay notification stating the revised expected shipping date; and

(b) an option to consent to the new shipping date or to cancel the order for a full refund of the Project Kit Pledge Amount.

If the Backer does not respond to the delay notification within the time stated in the notification, the order may be cancelled and refunded in accordance with 16 C.F.R. § 435.2(b)(2). This Section 4.9 is in addition to, and does not limit, the Backer's rights under Section 4.6 and Section 5.4 (12-month long-stop refund right).

5. REWARDS

5.1 Digital Files

A perpetual, personal, non-exclusive, non-transferable license to download and use the specified design files, parameter sheets, and instructions for the Backer's personal, non-commercial use, including making physical articles for personal use. You may not redistribute, resell, sublicense, share, or publicly post the Digital Files, or use them commercially (unless you also hold a Commercial License). Atomm will host Digital Files for re-download in your account for at least two (2) years after first delivery; you are encouraged to keep your own local copy.

5.2 Commercial License

A perpetual, non-exclusive, worldwide, royalty-free license (with no volume, geographic, or term limit) to use the Creator's Digital Files for commercial purposes, including fabricating and selling physical articles made from the Digital Files. Commercial License does not authorize you to (i) redistribute, resell, sublicense, host, or otherwise share the Digital Files themselves or any derivative digital files on or through any third-party platform or service; or (ii) use the Creator's or Atomm's trademarks, logos, or brand names. (This scope mirrors the standard digital-file license model used by leading 3D-model marketplaces.)

5.3 Project Kit

A Project Kit is a curated set of physical materials (such as pre-cut wood, glass, acrylic, metal components, or other tangible items) available for purchase through the xTool online store, designed to accompany the Creator's Digital Files for that Campaign. Project Kit sales — including pricing, shipping regions and timeframe, taxes and customs, returns and refunds, warranty, product-safety warnings (including California Proposition 65 warnings where applicable), and recall — are governed by the published policies of the xTool online store, available at [insert xTool store policies URL].

Seller and EU responsible operator. The xTool online store entity for your location is the seller of record for the Project Kit. The specific selling entity for each location will be disclosed at the xTool online store checkout (for example, the US, EU, UK, or Japan entity, as applicable to your Backer location). For EU consumers, the responsible economic operator within the meaning of Article 16 of Regulation (EU) 2023/988 (General Product Safety Regulation) is Makeblock Europe B.V., whose contact information is published on the Project Kit product page.

5.4 Estimated Delivery Dates

Estimated delivery dates published on the Campaign page are estimates, not guarantees. If any Reward has not been delivered within twelve (12) months of the Campaign End Date, the Backer may request a refund of all amounts paid for the undelivered portion.

5.5 Restrictions

(a) During the Funding Period, one active Pledge per Campaign per Backer; (b) during Late Pledge, multiple Pledges are allowed, provided that the payment for each prior Pledge has been successfully completed, and each Digital Reward may be purchased only once per Backer per Reward Tier; (c) once a Campaign launches, the Funding Goal and Campaign End Date are fixed.

5.6 Stretch Goals

A Campaign may include one or more Stretch Goals — additional benefits that unlock for all eligible Backers when the Campaign reaches a specified funding threshold above 100% of the Funding Goal (for example, "if funding reaches 200%, all Backers who have purchased a Reward will additionally receive [model X]"). Each Stretch Goal published on the Campaign page must clearly state:

(a) the unlock threshold;

(b) the eligible Backers (which Reward Tiers benefit, and whether Late Pledge Backers benefit);

(c) the specific additional benefit; and

(d) the estimated delivery method and timing.

Stretch Goals are additional benefits to the Backer's core Reward and do not modify the Backer's existing entitlement to the core Reward. Any failure by the Creator or Atomm to deliver a Stretch Goal is treated under the same risk and remedies framework as the core Reward (including Section 5.4 long-stop refund). Atomm or the Creator may not introduce new Stretch Goals during the Funding Period that reduce or replace any previously published Reward.

6. PROJECT CANCELLATION OR SUSPENSION

Atomm may cancel, suspend, or remove a Campaign at any time if Atomm reasonably believes the Campaign violates this Agreement, the ToU, or applicable law; misrepresents material facts; infringes third-party rights; cannot be fulfilled; or is required to be cancelled by legal or regulatory authority. If a Campaign is cancelled before Successful Funding, all Pledge Amounts (Digital and Physical) are refunded in full within 7 calendar days (Digital by Atomm; Physical by xTool online store). If cancelled after Successful Funding, all amounts paid by Backers for undelivered Rewards are refunded within 14 calendar days. Backers who have followed the Campaign will be notified.

7. FUNDING PROGRESS DISPLAY

The "amount raised," "number of supporters," and "percentage of Funding Goal" displayed on a Campaign page are calculated and displayed in accordance with Atomm's published methodology for the Program. Under Atomm's full-payment model, each Backer's contribution to the displayed figures reflects the Pledge Amount paid (whether through the Atomm platform for Digital Pledges, the xTool online store for Physical Pledges, or both). Atomm will make this calculation method available to Backers on or alongside the Campaign page. Atomm's presentation of Campaign content and related metrics is subject to Atomm's editorial discretion and to applicable law.

8. ADDITIONAL PROHIBITED CONDUCT (CROWDFUNDING-SPECIFIC)

In addition to the general prohibitions in the ToU, you may not, in connection with the Program:

(a) make any chargeback or payment reversal claim that is not based on a good-faith dispute (this does not waive any non-waivable rights you have under applicable consumer financial-protection law); or

(b) resell or redistribute a Reward in a manner that violates the Reward's license terms.

9. FORCE MAJEURE — PROJECT KITS

In addition to the general force-majeure provision in the ToU, if a force-majeure event prevents Atomm from sourcing or delivering a Project Kit for more than sixty (60) days, you may cancel the affected Reward and receive a full refund.

10. GOVERNING LAW, DISPUTE RESOLUTION, AND MODIFICATIONS

Governing law, arbitration, class-action waiver, modifications of this Agreement, notices, indemnification, limitation of liability, and other general matters are governed by the corresponding provisions of the ToU, which apply to this Agreement mutatis mutandis. Where you are a consumer protected by mandatory consumer-protection law (including EU/UK consumers), nothing in this Agreement deprives you of rights that cannot be waived under the law of your country of habitual residence (consistent with the ToU's existing EU/UK consumer protections).

APPENDIX A — EU/UK CONSUMER WITHDRAWAL RIGHTS

This Appendix applies if you are a consumer (a natural person acting outside your trade or profession) habitually resident in an EU member state or the UK. The rights below are mandatory under EU CRD 2011/83/EU and UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To the extent any provision of the main Agreement, the ToU, or the xTool online store policies is less favorable to you, this Appendix and the underlying statutory rights prevail.

A.1 14-Day Right of Withdrawal — Project Kit (Physical Goods)

For Project Kits delivered to you in an EU member state or the UK, you have the right to withdraw from your purchase within 14 calendar days of receiving the goods, without giving any reason. To exercise the right, send an unambiguous statement to the xTool online store customer service (contact details available on the xTool online store) or use the model withdrawal form below. xTool online store will refund all payments received (including standard delivery costs) within 14 days of being informed of your withdrawal, and may withhold reimbursement until the goods are returned or evidence of return is provided. You bear the direct cost of return, and are liable for any diminished value resulting from handling beyond what is necessary to establish the nature and functioning of the goods. The right of withdrawal does not apply to (i) custom or personalized goods, or (ii) sealed goods opened after delivery and not suitable for return for hygiene reasons (CRD Art. 16(c)/(e)).

A.2 14-Day Right of Withdrawal — Digital Rewards (Digital Content)

For Digital Files and Commercial License (digital content under CRD Art. 16(m)), you have a 14-day right of withdrawal from the date of Pledge. However, the right of withdrawal ends once delivery of the digital content has begun, provided that you have (i) given express prior consent to immediate delivery upon Successful Funding and (ii) acknowledged that you will thereby lose the right of withdrawal. Atomm obtains such consent through a clearly worded checkbox at the Digital Pledge confirmation step.

A.3 Mandatory Consumer Rights Not Waived

Nothing in the main Agreement, the ToU, the xTool online store policies, or this Appendix deprives you of any mandatory rights you have under EU CRD 2011/83/EU, the EU Sale of Goods Directive 2019/771 (including the two-year legal guarantee of conformity), the EU GPSR (EU) 2023/988 (product safety), the UK Consumer Rights Act 2015, the UK Consumer Contracts Regulations 2013, or any other mandatory consumer-protection law of your country of habitual residence.
